ESTABLISHED FURNITURE MANUFACTURING BUSINESS

Available

East Midlands | Going Concern Sale | Manufacturing Assets Also Available Separately

An opportunity has arisen to acquire an established furniture manufacturing business based in the East Midlands, with a long trading history, considerable sector experience and longstanding customer relationships.

The business has developed an established presence within the furniture sector, providing a range of manufacturing and associated services. Its customer base includes a large pub group, which has historically accounted for a significant proportion of the Company’s work. Management accounts record turnover of approximately £2.44 million for the eight months ended 31 August 2026, with a gross profit of approximately £814,000, representing a gross margin of 33.4%.

The operation encompasses milling, assembly, staining and spraying, upholstery and refurbishment, supported by a comprehensive suite of woodworking, manufacturing and associated equipment. The business also maintains an existing stock holding, recorded at approximately £405,000 as at 31 August 2026.

Key Investment Considerations

The business offers an incoming purchaser an established manufacturing platform, supported by experienced operations, existing customer relationships and a broad range of production capabilities. The opportunity may be particularly attractive to an existing furniture manufacturer, joinery business or complementary operator seeking to expand its manufacturing capacity, broaden its service offering or integrate the operation into an existing business.

The Company is, however, experiencing financial difficulties against the backdrop of a changing trading environment. Although the business serves a number of customers, a significant proportion of its work has historically been derived from a single principal customer, being a large pub group, from whom the frequency of work has reduced in recent months. This has contributed to the challenges facing the business and highlights the potential for a purchaser to diversify the customer base, develop additional revenue streams and review the existing cost base.

Sale Opportunity

The preferred route is the acquisition of the business and its associated assets as a going concern out of administration, offering a prospective purchaser the opportunity to acquire an established operation and potentially develop it around its own existing customer relationships and requirements.

Alternatively, a separate sale of the Company’s plant, machinery and associated equipment out of liquidation is also being considered, providing an opportunity for purchasers seeking to acquire a comprehensive suite of woodworking and furniture manufacturing equipment for removal and integration into their own premises or operations.

Offers and Further Information

Interested parties are invited to submit indicative offers for the acquisition of the business and assets as a going concern, or for the plant, machinery and associated assets separately, by no later than 12:00 noon on Friday 30 October 2026.

The successful purchaser will be required to proceed on an accelerated basis, with the intention that the sale is completed by close of business on Friday 6 November 2026, subject to the agreed sale terms and any necessary third-party consents.

Accordingly, only parties able to demonstrate that they can complete within this timescale should express an interest.

Due to the confidential nature of the sale, interested parties will be required to enter into a Non-Disclosure Agreement before further information is released. Proof of funds and/or appropriate evidence of funding will also be required and may be requested at any stage of the sales process.

Williams & Partners Ltd reserves the right to conclude the marketing process early, at its discretion and depending on the level of interest received, extend the deadline or withdraw the opportunity without notice or liability.

Applications received within 48 hours of the deadline may be too late to allow sufficient time for a Non-Disclosure Agreement to be completed and the Information Pack to be issued.
